The following Terms and Conditions shall govern all purchases of goods or services made by Orchid MPS Holdings, LLC and/or any of its affiliates or subsidiaries (collectively “Purchaser”) from a third party (“Seller”) and these Terms and Conditions shall apply to the exclusion of any other terms unless expressly agreed by Purchaser and Seller in writing, in which case those written terms shall prevail to the extent such terms conflict with these Terms and Conditions.
